Templar ("Templar", "we", "us") is a trading name of Praxis Capital Ltd, a company registered in England & Wales (company no. 16606511). These terms govern your use of templar.sh and the basis on which we provide information and services. Where you have signed a written advisory agreement with us, that agreement prevails over this page in the event of any conflict.

1. 1.  Advisory services only - no investment advice.

   Templar provides strategic and technical advisory services to businesses. Nothing on this website, and nothing we say or provide, constitutes investment, financial, legal, tax or accounting advice, or a personal recommendation to buy, sell, hold or deal in any token, digital asset, security or other instrument. You are responsible for your own decisions and should obtain your own independent professional advice.

2. 2.  No financial promotion or solicitation.

   Nothing on this website or in our materials is an offer, inducement, invitation or solicitation to buy, sell or subscribe for any token, digital asset, security or investment, to invest in any project, or to enter into any transaction. Our services are directed only at businesses and professional counterparties - not at retail consumers - and are not intended for any person in any jurisdiction where such a communication would be unlawful.

3. 3.  Not a fund; no custody; no management of client assets.

   Templar is not a fund, investment manager, broker, dealer or execution-infrastructure provider. We do not manage, pool or invest client money; we do not take custody of client assets or hold client private keys; and we do not execute transactions on a discretionary basis on your behalf. Any execution support is provided within, and under the control and permissions of, the client's own systems.

4. 4.  Track record and figures.

   Any figures referenced on this website or in our materials - including amounts advised on, amounts raised by clients, numbers of launches or teams, and any reference to outcomes - are historical, approximate and relate to work carried out with or for clients. They are attributable to those clients and their own circumstances, and not to any Templar or Praxis Capital Ltd fund, product or managed account. Where such figures describe the founder's individual track record, they relate to work carried out over the course of his career, including before and outside Templar. They are provided for background only, are unaudited, and are not a promise, projection, guarantee or reliable indicator of any future result. Past performance and past outcomes are not indicative of future performance or outcomes.

5. 5.  Digital-asset risk.

   Digital assets and on-chain markets are highly volatile and high-risk. Tokens and launches can and do fail, and value can fall to zero. Nothing Templar provides removes, reduces or offsets that risk, and we make no representation as to the performance, value, legality or suitability of any token, project or strategy.

6. 6.  Regulatory status.

   Templar provides commercial advisory services and is not authorised or regulated by the Financial Conduct Authority or any other financial services regulator. Our advisory work - including on-chain analytics and investigations - is an unregulated activity. We do not carry on any regulated activity, and nothing we provide should be understood as a regulated financial service.

7. 7.  Introductions and third parties.

   Where we introduce or coordinate third-party specialists (for example legal, marketing, KOL, PR or other providers), we do so as a convenience. We do not act as agent for, endorse, warrant or accept responsibility for any third party or their services; any engagement is directly between you and that third party.

8. 8.  Information provided "as is".

   This website is general information only, is provided "as is" and "as available", may be incomplete or become out of date, and may be changed at any time without notice. To the fullest extent permitted by law, we exclude all warranties and accept no liability for any loss arising from reliance on it.

9. 9.  Confidentiality; no endorsement.

   We do not publish client names or logos. Any reference to clients or engagements is general; references and case detail are shared only privately, under NDA, with qualified prospective clients. No content on this website implies endorsement by any client, partner or third party.

10. 10.  Intellectual property.

    All content, branding and materials on this website are owned by Praxis Capital Ltd or its licensors and may not be reproduced without permission.

11. 11.  Governing law.

    These terms, and any dispute or claim arising out of them or your use of this website, are governed by the laws of England & Wales and subject to the exclusive jurisdiction of the courts of England & Wales, without prejudice to any mandatory rights you may have under local law.
